1) Agreement & Order of Precedence

These Terms govern access to and use of 1klik's products and services ("Services"). Any Order Form (including online checkout) identifying Services and pricing is incorporated by reference. If there's a conflict, the following order controls: (1) Data Processing Addendum (if applicable), (2) Order Form, (3) these Terms, (4) documentation presented within the product. Concepts like an order-form-driven service scope mirror common SaaS practice.

2) Eligibility; Accounts

You must be legally capable of entering contracts and authorized to bind the company you represent. You are responsible for all activities under your account and for maintaining the confidentiality of credentials, API keys, and tokens you provide to 1klik.

3) License & Access

Subject to these Terms and timely payment, 1klik grants you a non-exclusive, non-transferable, revocable right to access and use the Services during the subscription term for your internal business purposes.

4) Modes of Operation (Test vs Live; "YOLO" Switch)

Test Mode (Default). 1klik only sends responses when it determines it can fully handle a ticket under configured rules. Unknown/low-confidence matters are flagged, auto-described, and tagged for your review.

Live Mode. You may enable the YOLO switch at any time. In Live Mode, 1klik will attempt every incoming ticket per your settings, automations, and integrations.

Your Controls. You configure thresholds, workflows, actions (e.g., refunds, cancellations), and "stealth vs transparent" presentation.

Your Responsibility. You are solely responsible for reviewing flagged items, setting the thresholds you deem appropriate, and validating outputs before enabling or continuing Live Mode.

5) Customer Responsibilities

You represent and warrant that you will:

Comply with law (including consumer, privacy, export, sanctions, anti-corruption) and all third-party terms governing platforms you connect (e.g., Zendesk, Shopify, Intercom). Third-party providers often require use of their credentials and can change credential requirements unilaterally.

Provide only authorized access: You have all rights and consents to supply any API keys, tokens, credentials, or data to 1klik and to direct 1klik to perform actions in your systems.

Control & oversight: You determine policies, workflows, and the choice to operate in Test or Live Mode; you must maintain human oversight appropriate for your risk profile.

Accuracy & backups: You are responsible for the accuracy of instructions, policies, and data you supply, and for maintaining your own backups.

Security: You will not share credentials with unauthorized parties; if compromised, you must revoke/rotate them in your systems and notify us promptly.

6) Third-Party Services & Integrations

The Services may access or interact with third-party services solely on your behalf and under your direction. 1klik is not responsible for third-party services (including their availability, security, changes, rate limits, or credential policies). You bear all risks from such services and agree that suspensions, deprecations, or changes by third parties (e.g., API credentials/requirements) may impact the Services and are not a breach by 1klik.

7) Acceptable Use

You will not (and will not permit others to):

  • a) use the Services to break the law or infringe rights;
  • b) upload malicious code or circumvent technical safeguards;
  • c) attempt to access data or systems without authorization;
  • d) resell, sublicense, or provide the Services to third parties except as explicitly permitted;
  • e) misrepresent outputs as professional advice (medical, legal, financial, or safety-critical).

8) Data; Privacy; Roles

Customer Data. Content, data, and materials you supply ("Customer Data") remain yours. You grant 1klik a license to host, copy, process, transmit, and display Customer Data only to provide and improve the Services (including security, quality, and model safety).

Aggregated/De-identified Data. 1klik may generate, use, and share Aggregated Data and de-identified insights for analytics, benchmarking, and product improvement, provided such data does not identify you or your end users.

Personal Data. If use of the Services involves Personal Data, the parties will enter a Data Processing Addendum with the EU Standard Contractual Clauses as needed. (Link/appendix placeholder.)

Security. 1klik uses commercially reasonable administrative, technical, and physical safeguards. No method of transmission or storage is 100% secure.

Privacy Policy. Additional details are in our Privacy Policy (incorporated by reference).

9) AI Outputs; No Professional Advice

AI/automation may generate results that are incomplete, incorrect, or require context. You are responsible for verifying outputs and determining suitability for your use cases. The Services do not constitute legal, financial, medical, or other professional advice.

10) Service Levels; Beta; Modifications

SLA. Unless an Order Form or SLA says otherwise, Services are provided on a commercially reasonable efforts basis.

Beta/Preview. Features labeled Beta, Preview, or Test are provided "AS IS" and may be modified or withdrawn at any time.

Modifications. We may update the Services (including APIs, UI, features) and these Terms; material changes will be notified via the Service or email. Continued use after the effective date constitutes acceptance.

11) Fees; Taxes; Trials; Refunds

Fees are as stated in the Order Form or online checkout and are non-cancelable and non-refundable except as expressly set out in these Terms or required by law. You are responsible for taxes (excluding taxes on 1klik's net income). Late amounts may incur the lesser of 1.5% per month or the maximum allowed by law. Trials may be suspended or terminated at any time.

12) Intellectual Property; Feedback

1klik and its licensors retain all rights, title, and interest in the Services, software, models, and documentation. You grant 1klik a royalty-free, perpetual license to use feedback and suggestions for any purpose.

13) Confidentiality

Each party will protect the other's Confidential Information using at least reasonable care and use it only for purposes of this Agreement. "Confidential Information" excludes information that is publicly available, independently developed, or lawfully obtained without confidentiality obligations.

14) Disclaimers

To the maximum extent permitted by law, the Services and all results are provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express, implied, statutory, or otherwise, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or quiet enjoyment. 1klik does not warrant uninterrupted or error-free operation or that outputs will meet your requirements or prevent all customer complaints.

15) Limitation of Liability

To the fullest extent permitted by law:

a) No indirect damages. 1klik will not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages; loss of profits, revenue, goodwill, data, or business interruption; or cost of substitute services—even if advised of the possibility.

b) Cap. 1klik's aggregate liability arising out of or related to the Services is limited to the amounts you actually paid for the Services giving rise to the claim during the twelve (12) months before the event first giving rise to liability.

c) Exclusions. The foregoing does not limit liability to the extent it cannot be limited under applicable law (e.g., willful misconduct).

These allocations of risk are an essential basis of the bargain.

16) Indemnification by Customer

You will defend, indemnify, and hold harmless 1klik, its affiliates, and personnel from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or relating to:

  • (i) your Customer Data or your use of the Services;
  • (ii) your violation of law or third-party rights;
  • (iii) your breach of these Terms;
  • (iv) your integrations, credentials, or directives given to 1klik (including actions taken in your accounts);
  • (v) your non-compliance with third-party platform/API terms (e.g., Zendesk's developer/customer agreements and changes to credential requirements).

17) IP Claims by Third Parties

If a third party alleges the Services, as provided by 1klik and used in accordance with these Terms, infringe its IP rights, 1klik may at its option and cost: (a) modify or replace the Services; (b) procure the right for you to continue using them; or (c) terminate the affected Services and refund prepaid, unused fees. This section is your exclusive remedy for such claims.

18) Suspension & Termination

We may suspend access immediately for (a) security risk, (b) suspected unlawful activity, (c) non-payment, or (d) violation of these Terms. Either party may terminate for cause if the other party materially breaches and fails to cure within 30 days of written notice. Upon termination, your right to access the Services ceases; you remain responsible for amounts due. Certain sections (including 8, 12–16, 18–22) survive termination.

19) Export & Sanctions

You represent you are not located in, organized in, or a resident of a country or region embargoed by the EU/US and are not on any restricted-party list. You will comply with all export control and sanctions laws.

20) Government Use

The Services are commercial computer software. Government end users' rights are limited by these Terms and applicable law.

21) Assignment; Subcontracting

You may not assign these Terms without 1klik's prior written consent; any unauthorized assignment is void. 1klik may assign to an affiliate or acquirer and may use subcontractors (remaining responsible for their performance).

22) Publicity

Unless you opt out by written notice, 1klik may use your name and logo in customer lists and marketing materials.

23) Governing Law; Venue; Disputes

These Terms are governed by the laws of Lithuania (excluding conflict-of-laws rules). The parties submit to the exclusive jurisdiction of the courts in Vilnius, Lithuania. Each party waives jury trial and class actions to the extent permitted by law. Nothing prevents either party from seeking urgent injunctive relief.

24) Notices

Notices must be in writing and deemed given when (a) sent by email to the addresses specified on the Order Form (with confirmation of transmission) or (b) delivered by courier to the registered address.

25) Force Majeure

1klik is not liable for delays or failures caused by events beyond its reasonable control (including failures of third-party platforms, networks, or providers).

26) Entire Agreement; Severability; No Waiver

These Terms (with Order Forms and DPA, if any) form the entire agreement, superseding prior proposals or understandings. If a provision is unenforceable, it will be modified to the minimum extent necessary to make it enforceable; the remainder remains in effect. Failure to enforce is not a waiver.

Annex A — Specifics for Integrations, Credentials & Actions

Credentials Supplied by You. Any API keys/tokens you provide authorize 1klik to act as your agent within your accounts pursuant to your configurations. You remain responsible for revoking/rotating keys, permission scopes, and downstream results.

Third-Party Changes. If a third-party provider (e.g., Zendesk) modifies credential types, scopes, quotas, or access methods, you acknowledge such changes may impact or disable portions of the Services and do not constitute 1klik breach.

Workflow Actions. When enabled, 1klik may trigger platform actions (e.g., refunds, reships, cancellations) based on your settings and policies. You are responsible for policy accuracy, fraud checks, and financial consequences of actions performed at your direction.

Presentation Mode. You may choose to display AI attribution or operate in stealth mode. You are responsible for any consumer notices required by law or platform policy.

Annex B — Acceptable Use (Illustrative)

  • No scraping or collection that violates law or third-party terms;
  • No attempts to bypass authentication, rate limits, or access controls;
  • No high-risk use where errors could cause death, personal injury, or severe property/environmental damage;
  • No unlawful discrimination or harassment;
  • No infringement, defamation, or privacy violations.
